Terms of Service

These Terms of Service ("Terms") govern your use of Parcentry, a web-based software service ("Service") operated by Parcentry ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Parcentry is currently in pilot stage. These Terms apply to all users, including pilot participants.

1. What Parcentry Is

Parcentry is a commercial real estate change-intelligence platform. It monitors publicly available property records (building permits, property standards cases, and parcel data) for properties designated by customers, generates interpretive signal briefs based on detected changes, and provides a shared team workspace for organizing, annotating, and triaging those changes.

What Parcentry Is Not: Parcentry is an informational tool only. It is not legal advice, financial advice, real estate brokerage advice, investment advice, code compliance advice, title advice, or due-diligence advice. It does not replace professional consultation. You should independently verify all information before taking action based on data presented in Parcentry.

2. Accounts and Organizations

To use Parcentry, you must register an account using a valid email address. We use email-based authentication (magic links). You are responsible for maintaining the security of your email account and for all activity that occurs under your Parcentry account.

Parcentry supports team workspaces ("Organizations"). An Organization is created by a user who becomes its Owner. The Owner may invite additional users to join the Organization as Admins or Members.

By creating an Organization or inviting users, you represent that you have the authority to do so on behalf of your company or team. If you are using Parcentry on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

3. Acceptable Use

You agree to use Parcentry only for its intended purpose: monitoring commercial properties and interpreting public-record changes for your internal business use.

4. Intellectual Property

Parcentry, including its software, interface, design, signal-brief generation logic, interpretive rules, branding, documentation, and all related materials, is our proprietary property. These Terms do not grant you any ownership rights in Parcentry.

You retain ownership of any content you create within Parcentry, including notes, tags, watchlist names, and Organization information. By using the Service, you grant us a limited license to store, process, and display your content as necessary to provide the Service.

Public-record data displayed in Parcentry originates from government data sources. We do not claim ownership of underlying public-record data. Our value-add — including signal briefs, interpretive analysis, severity assessments, and suggested next steps — is our proprietary work product.

5. Data Accuracy and Limitations

Parcentry monitors publicly available data from government sources (currently Nashville / Davidson County, Tennessee). We make reasonable efforts to ingest and display this data accurately, but we do not guarantee the accuracy, completeness, or timeliness of any public-record data. Government data sources may contain errors, delays, or omissions outside our control.

Signal-to-Action Briefs are generated using rules-based logic applied to detected events. They are interpretive summaries intended to help teams prioritize, not definitive assessments. Every detected event includes a reference to the official government source where available. You should verify information directly with the relevant government agency before making decisions.

6. Subscription and Billing

We may offer pilot access to the Service at no charge for a limited period. Pilot access may be modified, limited, or terminated at our discretion. Following any pilot period, continued use requires a paid subscription. Subscription terms, pricing, and limits are as specified at the time of purchase.

Subscriptions are billed through Stripe and renew automatically unless canceled before the renewal date. Fees are non-refundable except where required by applicable law. We may change pricing with at least 30 days' notice.

7. Suspension and Termination

You may cancel your subscription or delete your account at any time by contacting us. We may suspend or terminate your access at any time for violation of these Terms, non-payment, or conduct harmful to the Service. Upon termination, your right to use the Service ceases immediately.

8. Limitation of Liability

To the maximum extent permitted by law, Parcentry shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including lost profits, lost data, or business interruption. Our total liability shall not exceed the amount you paid to us in the twelve months preceding the claim.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

10. Indemnification

You agree to indemnify and hold harmless Parcentry from any claims, losses, or expenses arising from your use of the Service, your violation of these Terms, or decisions you make based on data or signal briefs provided by the Service.

11. Governing Law

These Terms are governed by the laws of the State of Maryland. Any disputes shall be resolved in the state or federal courts located in Maryland.

12. Changes

We may update these Terms at any time. Material changes will be communicated by email or notice in the Service. Continued use after changes take effect constitutes acceptance.
